Weil Advises ETNA Capital on Majority Acquisition of Brolis Defence Group

A Weil team co-led by Dr. Kamyar Abrar and Dr. Julia Schöfer advised ETNA Capital, a Danish private equity firm focused on defense, cybersecurity and critical infrastructure protection, on its agreement to acquire a majority in Brolis Defence Group, UAB (“Brolis”). Closing is expected in Q2 2026, subject to regulatory approvals.

Weil advised ETNA Capital as lead counsel on all legal aspects of the transaction, including regulatory advice. The acquisition represents the largest private equity investment in the defense sector in the Baltic States to date and marks ETNA Capital’s first platform investment. With ETNA Capital’s support, Brolis aims to accelerate product and technology development, scale industrial capacity and expand internationally, thereby contributing to Europe’s technological sovereignty and resilience in the defense and security domain. Following the transaction, the Vizbaras family will retain a significant minority stake of around 40% and continue to lead the company jointly with ETNA Capital.

The transaction underscores Weil’s strong private equity practice in the defense and security technology sector and highlights the Firm’s expertise in advising on complex, strategically significant investments involving sensitive technologies and multinational regulatory considerations.

ETNA Capital, founded in 2025 and backed by leading Danish pension funds, is a pan‑European private equity firm headquartered in Copenhagen with an additional office in Munich. Brolis, headquartered in Vilnius, Lithuania, is a leading developer and manufacturer of advanced electro‑optical, laser‑based and infrared sensing technologies. Founded in 2011, the company supplies defense, security and law enforcement. Following the transaction, the founders will retain a significant minority stake of around 40% and continue to lead the company’s management jointly with ETNA Capital.
