Leigh Dannhauser
Leigh Dannhauser is an associate in Weil's Capital Markets practice and is based in New York. Leigh participates in advising issuers, underwriters and private equity sponsors in connection with public and private offerings of securities and other capital markets transactions. She has been involved in investment grade and high-yield debt offerings as well as primary and secondary equity offerings.

Leigh has been part of the teams advising:

  • AltC Acquisition Corp., a SPAC sponsored by AltC Sponsor LLC (an affiliate of M. Klein and Company, LLC), in its $875 million de-SPAC merger with Oklo Inc.
  • AMC Entertainment Holdings, Inc., as issuer, in connection with a $150 million at-the-market offering and one or more forward transactions of its Class A common stock to repay, redeem or refinance existing indebtedness.
  • Asurion, LLC in its inaugural $3.3 billion senior secured bond offering and its $3.3 billion second lien bond offering.
  • Diversified Healthcare Trust in a $941 million offering of zero coupon senior secured notes due 2026
  • Forgent Power Solutions, Inc. in its $1.51 billion initial public offering of its Class A common stock.
  • Fox Corporation in an approximately $900 million secondary offering of 16,835,016 shares of Class B common stock in connection with the resolution of the legal proceedings in Nevada related to the Murdoch family trust
  • Leading financial institutions, as representatives of the underwriters, in connection with multiple investment grade senior notes offerings by The Williams Companies Inc. totaling $9.3 billion.
  • Morgan Stanley and Wells Fargo, as dealer managers, in (i) Owens Corning’s tender offer and related consent solicitation with its acquisition of Masonite International Corporation and offer to purchase of $500 million of Masonite’s 5.375% senior notes due 2028 and (ii) in an approximately $375 million consent solicitation and exchange offer of Masonite International Corporation’s 3.50% senior notes due 2030 for new 3.50% senior notes due 2030 of Owens Corning.
  • Morgan Stanley, Wells Fargo and two major financial institutions, as representatives of the underwriters, in a $2 billion offering of 5.500% senior notes due 2027, 5.700% senior notes due 2034 and 5.950% senior notes due 2054 by Owens Corning.
  • Morgan Stanley Senior Funding, as administrative agent, in a senior unsecured delayed draw term loan facility for Owens Corning to finance acquisition of Masonite International Corp.
  • Office Properties Income Trust in its $300 million 144A/Reg S offering of 9.000% senior secured notes due 2029
  • Preferred equity investor in connection with the financing to support Odyssey Investment Partners’ portfolio company Protective Industrial Products in its acquisition of Honeywell’s Personal Protective Equipment
  • The initial purchasers in connection with an offering by Transcontinental Gas Pipe Line Company, LLC of $1.7 billion of senior notes
  • The initial purchasers in a $450 million senior secured 144A/Reg S senior secured notes offering by OUTFRONT Media, Inc.
  • WEX Inc. in a $450 million senior secured incremental term loan B facility, together with the issuance of $550 million of unsecured notes

Leigh is dedicated to pro bono legal work, including focusing on LGBTQ+ rights and international law. Leigh received her J.D. from University of California, Los Angeles School of Law, where she was Chief Articles Editor of UCLA Journal of International Law and Foreign Affairs. She also received her M.S. from the University of Virginia and her B.A. from Washington and Lee University.
