Weil Advises Kroger in Divestiture Plan with C&S Wholesale Grocers

Weil is advising The Kroger Company in its definitive agreement with C&S Wholesale Grocers, LLC for a comprehensive divestiture plan in connection with Kroger’s proposed $24.6 billion merger with Albertsons Companies Inc.

The transaction is expected to close following the completion of Kroger’s merger with Albertsons, which remains on track to be finalized in early 2024, subject to customary closing conditions and regulatory approvals.

The agreement includes the sale of 413 stores, eight distribution centers, two offices and 15 private label brands in 17 states and Washington, D.C. The plan ensures that no stores will close as a result of the merger.

The Weil team is led by Mergers & Acquisitions partner Michael J. Aiello and includes partners Sachin Kohli and Megan Pendleton and associates Alyssa Kutner, Chelsea Carpenter and Alan Chan. The team also includes Private Equity counsel Barrett Schitka and associates Luisa Perez, Sam Mendelson and Mark Schiff (Not Yet Admitted in New York).
