Weil Germany advised DIC Asset AG, a leading German commercial real estate company listed in the SDAX, on:

• The pre-tender offer acquisition of a 10.5% shareholding
• The acquisition of shares in VIB Vermögen AG not included in the partial tender offer resulting in a shareholding of approximately 36%
• The successful partial tender offer with regard to 6,500,000 shares in VIB Vermögen AG
• The subsequent conclusion of a business combination agreement between DIC Asset AG and VIB Vermögen AG

With DIC Asset AG acquiring about 60% of the share capital of VIB Vermögen AG, the strategic goal announced with the publication of the offer was achieved in full. Based on the offer price of €51.00 per share, the equity value of VIB Vermögen AG corresponds to approximately €1.4 billion.
