Biography

Zach Fialkow
Zach Fialkow is an associate in Weil's Capital Markets practice and is based in New York. Zach participates in advising issuers, underwriters and private equity sponsors in connection with public and private offerings of securities and other capital markets transactions. He has been involved in investment grade and high-yield debt offerings as well as primary and secondary equity offerings.

Zach has been part of the teams advising:

  • Allego Holding B.V. (n/k/a Allego N.V.) (a portfolio company of Meridiam Infrastructure Partners) in its $3.14 billion business combination with Spartan Acquisition Corp. III, a SPAC sponsored by Spartan Acquisition Sponsor III LLC (an affiliate of Apollo Global Management)
  • Arrival Ltd., a manufacturer of lightweight commercial electric vehicles, in its $320 million offering of senior unsecured 144A/Reg S green convertible notes, concurrently with its $354 million follow-on offering of ordinary shares, to generate operating capital
  • Citi and other financial institutions, as dealer managers, in a debt tender offer by Lear Corporation to purchase $200 million aggregate principal amount of its outstanding senior notes due 2027, financed by Lear’s simultaneous $700 million offering of senior unsecured notes  
  • Citi, and other financial institutions, as representatives of the underwriters, in a $1.75 billion offering of senior notes by The Williams Companies, Inc.
  • Citi, Truist, Wells Fargo and another financial institution, as representatives of the underwriters, in a $2.1 billion offering of senior notes by The Williams Companies, Inc.
  • Deutsche Bank, and other financial institutions, as representatives of the underwriters, in a $1.5 billion offering of senior notes by The Williams Companies, Inc.
  • Iron Mountain Incorporated its $750 million offering of senior unsecured 144A / Reg S notes to finance its acquisition of ITRenew, Inc.; in its $1 billion offering of senior unsecured 144A / Reg S notes; and in a $1.2 billion senior secured term loan facility
  • Leafly Holdings, Inc. in its business combination with Merida Merger Corp. I, a SPAC sponsored by Merida Capital Holdings, and its $30 million issuance of senior unsecured convertible notes to finance its business combination
  • Portillo’s, Inc. (a publicly traded company backed by Berkshire Partners) in its $115 million synthetic secondary offering of 8 million shares of its Class A common stock
  • SMBC Nikko Securities, Truist Securities, Wells Fargo and another financial institution, as representatives of the underwriters, in a $1.25 billion offering of senior notes by The Williams Companies, Inc., for general corporate purposes and to refinance existing indebtedness  
  • Truist, Wells Fargo, and a leading financial institution, as representatives of the underwriters, in $500 million offering of senior notes by McCormick & Company, Inc.

Prior to joining Weil, Zach was a Tax associate at another international law firm.

Zach received his LL.M. from New York University School of Law, where he was a recipient of the M. Carr Ferguson Scholarship. He received his J.D., with honors, from Emory University School of Law, where he served as a Writing Specialist for the Emory Corporate Governance and Accountability Review. Zach received his B.A., cum laude, from Tufts University.
