Biography
Virginia Dwyer is an associate in Weil’s Banking & Finance practice and is based in New York. Virginia participates in advising borrowers and leading private equity sponsors in a variety of financing transactions, including first and second lien credit facilities, middle market and large cap financings, cross-border and domestic acquisition financings and debt restructuring transactions.
Virginia has been part of the teams advising:
- Advent International Corporation in multiple senior secured term loan and revolving credit facilities for Nielsen Consumer LLC (d/b/a NielsenIQ) including an approximately $1.65 billion senior secured term and revolving facility to finance Nielsen Consumer LLC’s acquisition of GfK SE
- ATI Physical Therapy Inc. (a publicly traded company backed by Advent International) in its incremental second lien secured subordinated facility
- Bell Canada in its senior unsecured term loan facility to finance the acquisition of Ziply Fiber
- Citi, as arranger and administrative agent, in an amended and restated $132 million ABL revolving facility for Warrior Met Coal, Inc.
- Dayforce, Inc. (f/k/a Ceridian HCM Holding Inc.) in a $1 billion senior secured term loan and revolving facility
- EQT Private Equity in its senior secured term and revolving facility to finance its acquisition of BTRS Holdings Inc. (d/b/a Billtrust)
- First Watch Restaurants Group, Inc. (a publicly traded company majority owned by Advent International Corporation) in its $350 million senior secured term loan and revolving facility
- Iron Mountain Information Management, LLC in a $1.2 billion senior secured term loan facility
- Max US Bidco Inc. (a portfolio company of PAI Partners) in its $750 million senior secured term and revolving facility to purchase all the issued and outstanding equity interests of JHW Alphia Topco, Inc.
- Premise Health Holding Corp. (a portfolio company of OMERS) in a senior secured term loan facility
- Sign In Solutions Inc. (a portfolio company of PSG Equity L.L.C) in its senior secured term and revolving facility to finance the acquisition of SmartSpace Software plc
- Affiliates of Stripes, LLC in its senior secured revolving facility
- True Food Kitchen (a portfolio company of Centerbridge Partners)in a senior secured term facility
Virginia joined Weil as a summer associate in 2020.
Virginia received her J.D., magna cum laude, from Washington and Lee University School of Law, where she graduated as a member of the Order of the Coif and served as a Lead Articles Editor of the Washington and Lee Law Review. She received her B.A. from the University of Virginia.
