Maxim Frolov

Max is a counsel in our London Finance practice and a member of the European High Yield team.

Max has extensive experience representing sponsors and their portfolio companies, corporate issuers, underwriters and creditors in connection with high yield bonds offerings, debt restructurings, liability management exercises and other corporate finance transactions.

Representative experience includes acting for*:

  • The underwriters of MotelOne’s debut offering of €500 million bridge-to-bond senior secured notes
  • The underwriters of Sally Beauty’s offering of $600 million senior notes
  • Pepco on its debut offering of €375 million senior secured notes and the related upsizing of its revolving credit facility to €390 million
  • CVC on the high-yield notes financing of its partnership with La Liga
  • Arxada, a portfolio company of Bain and Cinven, in connection with the private placement of senior unsecured notes in connection its combinations with Troy Corporation and Enviro Tech Chemical Services
  • Getlink on multiple offerings of cross-credit Green Bonds
  • RAC, a portfolio company of CVC, GIC and Silver Lake, in connection with its offering of £345 million senior secured notes
  • Cinven in connection with the financing aspects of its acquisition of Arcaplanet, and Arcaplanet’s issuance of €550 million senior secured notes
  • Bain and Cinven in connection with their acquisition of Lonza Specialty Ingredients (currently, Arxada) and the issuance by Arxada of $350 million sustainability-linked senior secured notes and €460 million sustainability-linked senior notes (which was the first sustainability-linked high-yield notes issuance for an acquisition in Europe)
  • London Stock Exchange Group in connection with its debut Rule144A multi-tranche offering of $4.5 billion senior notes
  • DIGI Communications on multiple offerings of high-yield notes (including notes issued by RCS & RDS (currently, DIGI Romania), the group’s primary Romanian operating entity, the first such transaction out of Romania)
  • Flutter Entertainment in connection with the financing aspects of its £11 billion merger with The Stars Group
  • TalkTalk on multiple offerings of high-yield notes and financing arrangements following the take-private
  • a consortium of 16 banks lead by Barclays, J.P.Morgan and Société Générale on a notes offering by Wintershall Dea
  • BrightHouse on an exchange offer relating to its high-yield notes and a comprehensive debt restructuring
