Graham McHenry
Biography
Graham McHenry is an associate in Weil’s Regulatory Transactions group and is based in Washington, D.C. Graham participates in the representation of private equity sponsors and their portfolio companies with respect to mergers, acquisitions and divestitures.
Graham has been part of the teams advising:
- Advent International in the sale of Certinia Inc. (f/k/a FinancialForce.com, Inc.) and its acquisition of Sauer Brands, Inc.
- American Securities LLC in the $3.25 billion sale of CPM Holdings Inc. and ASP MWI Holdings Inc. to Rosebank Industries.
- EQT Partners and its portfolio company WASH Multifamily Laundry Systems in its sale of WASH to Northleaf Capital Partners and AVALT
- Glencore Canada Corporation (a subsidiary of Glencore plc) in its stalking horse bid for certain assets of Li-Cycle Holdings Corp. and certain of its subsidiaries
- Goldman Sachs in its $440 million strategic investment in BrightNight
- The Home Depot, Inc. in its $5.5 billion acquisition of GMS Inc.
- Luminar Technologies in its $110 million sale of Luminar Semiconductor to Quantum Computing and $33 million sale of LiDAR business to MicroVision
- PAI Partners and its portfolio company Alphia Inc. in its acquisition of substantially all of the assets of the pet food manufacturing plant located in Pittsburg, TX from U.S. Pet Food, L.L.C. and SGAA Logistics, L.L.C.
- Point Field Partners Holding Company, LLC in its acquisition of C & B Operations, LLC and R&M Commercial Properties, LLC
- Providence Equity Partners in its acquisition of a majority stake in Accelerate Learning Inc.
- PSG in its acquisition of mPulse Mobile, Inc. and Decision Point Healthcare Solutions LLC
- Sanofi in its $9.5 billion acquisition of Blueprint Medicines
- Superior Industries International, Inc. in its sale to a group of its term loan investors, including Oaktree Capital Management
- TruArc Partners in its acquisition of Schill Grounds Management and its portfolio company New Directions Aromatic in its acquisition of 50.1% stake in Aromatic Fragrances International
Graham received his J.D., magna cum laude from Boston College Law School, where he served as a Senior Editor of the Boston College Law Review. Prior to his legal career, he received a Master of Environmental Management from Duke University and worked in the field of economic and regulatory policy consulting. He also received his B.S. from Wake Forest University.
