Alex Rahmanan
Alex is an associate in Weil’s Securities Litigation and White Collar Defense, Regulatory & Investigations practice in New York. Alex primarily focuses on defending securities class actions and M&A litigation in state and federal courts, as well as related commercial litigation. Alex also represents companies in DOJ and SEC investigations, and in internal investigations.

Representative Securities Litigation matters include:

  • ATI Physical Therapy – Representing ATI and certain of its officers and directors in connection with federal securities, derivative, and Delaware fiduciary duty litigation relating to its 2021 de-SPAC transaction with Fortress Value Acquisition Corp. II;
  • Gores Holdings IV – Representing Gores IV, a SPAC sponsored by The Gores Group, its former directors and officers, and certain affiliates in fiduciary duty litigation in the Delaware Court of Chancery relating to Gores Holdings IV’s $16.1 billion merger with United Wholesale Mortgage;
  • PG&E – Representing PG&E Corporation and Pacific Gas & Electric Company in their chapter 11 proceedings in connection with securities class action lawsuits against the company related to the 2017 and 2018 northern California wildfires;
  • Brookfield Asset Management – Representing the company, board members, and certain company affiliates in a stockholder derivative and class action lawsuit in the Delaware Court of Chancery arising out of a June 2018 private placement by TerraForm Power, Inc; and
  • AMC Entertainment Holdings, Inc. – Representing the company and certain of its directors and officers in shareholder class action litigation in the Delaware Court of Chancery relating to AMC’s issuance of AMC Preferred Equity Units.

Representative White Collar matters include:

  • A national healthcare company in an internal investigation and federal law enforcement investigations;
  • A national medical device manufacturer in an internal investigation into alleged financial and personal misconduct by company executives; and
  • An international casino and gaming company in an internal investigation into alleged company misconduct in a foreign country.

Entertainment, Sports & Media Practice

Alex is also a member of the firm's Entertainment, Sports & Media group, where he has, and continues to represent:

  • The Professional Tennis Players Association (PTPA) and certain current and former professional tennis players in an antitrust class action lawsuit against the ATP Tour, WTA Tour, and the four Grand Slams in the S.D.N.Y;
  • An NBA player in an internal league investigation arising out of alleged off-court misconduct; and
  • A professional women's players association in connection with a dispute between a player and her team.

Pro Bono

Alex maintains an active pro bono practice, including extensive work in Weil's religious liberty practice, and representing a putative class of federal prisoners in the Metropolitan Detention Center Brooklyn in a lawsuit alleging unconstitutional conditions of confinement. Notable representations include:

  • The Anti-Defamation League (ADL) in various advisory matters concerning synagogue protests and protections for houses of worship.
  • Lubavitch of Cambridge (Harvard Chabad), in a lawsuit against the city of Cambridge and members of the city's Board of Zoning Appeals alleging violations of the Religious Land Use and Institutionalized Persons Act ("RLUIPA"). As a result of this litigation, the city allowed Chabad to build a new, state-of-the-art Chabad house serving the greater Boston Jewish community.
  • Jewish law school students who experienced antisemitism on campus after the October 7, 2023 terror attack in internal school disciplinary proceedings.
  • Dr. Moshe Glick, a dentist and synagogue congregant in New Jersey, in connection with litigation and counseling related to an anti-Israel protest at the client's synagogue.

Alex is also member of the New York City Bar Association Sports Law Committee.

Alex received his J.D. from Brooklyn Law School, cum laude, where he was an Associate Managing Editor on the Brooklyn Journal of Law and Policy, and a member of the Alternative Dispute Resolution (ADR) Honor Society. During law school, Alex was a teaching assistant for Constitutional Law and Criminal Law courses. He received a B.A. in History with minors in Legal Studies and Economics, cum laude, from Brandeis University.
