Marcus Chaplin-Roberts
Marcus Chaplin-Roberts is Counsel in the London Finance practice.

Marcus has a particular focus on advising direct lenders, credit funds, and financial institutions on complex financing transactions. He has extensive experience acting on cross-border leveraged finance, high-yield transactions, and corporate lending, as well as restructurings and special situations across a range of sectors.

Marcus also advises clients on liability management exercises, including amend-and-extend transactions, covenant resets, drop-downs, uptiers, and other bespoke capital structure solutions. His work in special situations spans distressed and event-driven financings, rescue capital deployments, and strategic recapitalisations.

Marcus has worked in both London and Hong Kong, and in 2022, he was seconded to J.P. Morgan, where he advised on several market-leading leveraged finance, corporate lending and structured lending transactions.

  • TalkTalk (2025): Advising Ares Management Funds in connection with the refinancing and restructuring of TalkTalk.
  • TalkTalk (2024): Advising Ares Management Funds in connection with the refinancing and restructuring of TalkTalk.
  • Petrofac: The ad hoc group of noteholders in relation to the restructuring of Petrofac.
  • Parkdean: The creditors in connection with the refinancing of Parkdean.
  • Apexindo: The creditors in connection with the restructuring of Apexindo.
  • Baha Mar: The creditors in connection with the restructuring of Baha Mar.

Advising on private credit transactions:

  • VivaGym: The lenders in connection with the unitranche facilities in support of Providence Equity Partners’ acquisition of VivaGym Group, a leading Iberian gym operator and subsequent bolt-on acquisitions.
  • System C Healthcare: The lenders in connection with the unitranche facilities in support of CVC’s bolt on acquisitions to System C Healthcare, a leading UK-based health and social care software provider.
  • AMCS: The lenders in connection with the unitranche facilities in support of EQT Private Equity’s acquisition of a majority stake in AMCS, a global leader of sustainability software for foundational industries.
  • April: The lenders in connection with the unitranche facilities and super senior revolving credit facility in support of KKR’s acquisition of APRIL Group, a leading French insurance broker.
  • Infront: The lenders in connection with the facilities provided to the Infront Group, a leading global sports events, media and marketing platform headquartered in Switzerland.

Advising on syndicated transactions:

  • Mehiläinen (2025): The finance parties in connection with Mehiläinen’s (majority owned by CVC and Hellman & Friedman) offering of €350 million senior secured floating rate notes and €740 million senior secured fixed rate notes, repricing of its existing €1.86 billion term loan facilities and upsizing of its existing revolving credit facility by €150 million.
  • Mehiläinen (2024): The lead arrangers in connection with the credit facilities provided to the Mehiläinen Group, majority owned by CVC Capital Partners.
  • High Temperature Solutions Business: The lead arrangers in connection with the credit facilities provided to support the acquisition by Platinum Equity of Imerys SA’s High Temperature Solutions business.
  • Urbaser: The lead arrangers in connection with the €2.455 billion credit facilities to support the acquisition by Platinum Equity of Urbaser S.A.U., a global environmental services provider headquartered in Spain.
  • Kem One: The lead arrangers in connection with the bridge to bond and super senior revolving credit facilities provided to support the acquisition by Apollo Global Management of the Kem One Group, a leading European chemicals producer headquartered in France.
  • Avast: The lead arrangers in connection with the credit facilities provided to support the acquisition by NortonLifeLock of Avast Plc, a cybersecurity company.
  • Cerdia: The initial purchasers in connection with an offering of senior secured notes by Cerdia Finanz GMBH, a portfolio company owned by Blackstone, representing the company’s debut high yield issuance.
  • Apex: The lead arrangers in connection with the refinancing of credit facilities provided to the Apex Group, a global financial services provider.
  • PGS ASA: in connection with its various financing transactions.
  • City Football Group: The lead arrangers in connection with the credit facilities provided to the City Football Group, the holding company of Manchester City FC.
  • Techem: The lead arrangers on the refinancing and repricing of the facilities provided to this Partners Group’s portfolio company, an energy service provider for the real estate sector.
  • Nets A/S: The lead arrangers on financings for the Danish payments systems provider, a Hellman & Friedman’s portfolio company.
  • Flora Food Group: The lead arrangers on the senior term loan financing and high yield financing for KKR's acquisition of Unilever's baking, cooking and spreads business.
  • Hilding Anders: The mandated lead arrangers in relation to the refinancing of a KKR portfolio company.
  • Kerridge Commercial Systems: The lenders providing the financing for an Accel-KKR portfolio company.
  • Cerba Healthcare: The mandated lead arrangers in relation to bolt-on acquisitions for a Partners Group portfolio company.
  • Compagnie Financière Richemont SA: The arranger providing financing for Richemont in relation to EUR2.6 billion voluntary public tender to acquire all ordinary shares of Yoox Net-A-Porter Group.
  • Providence Equity Partners and Galileo Global Education on financings including portfolio company work.
  • Providence Equity Partners and its portfolio company Bitė in relation to various financings.

Advising on corporate lending:

  • William Hill: The creditors in connection with the credit facilities provided to support the acquisition by Caesar’s Entertainment of William Hill Plc, a UK headquartered gaming business.
  • Solevo: The creditors in relation to the financing for Helios Investment Partners’ portfolio company.
