On August 10, 2026, Weil secured a significant victory for Neogen Corporation (Neogen), obtaining the dismissal of all claims in a federal securities class action brought in the U.S. District Court for the Western District of Michigan. Chief Judge Hala Y. Jarbou granted Defendants’ motion to dismiss in its entirety.
The action arose from Neogen’s $5.3 billion merger with 3M Corporation’s food safety business in September 2022. Plaintiffs alleged that Neogen and two of its senior officers made materially false or misleading statements regarding the post-merger integration of the food safety business, and challenged statements from 17 separate earnings calls and investor conferences over a two year period. The amended complaint asserted claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934.
In a detailed memorandum opinion, Judge Jarbou adopted the arguments Weil advanced in its briefs, holding that the amended complaint failed to adequately allege actionable misstatements and/or the requisite intent to defraud. The Court further held that many of the challenged statements were non-actionable corporate puffery, protected opinion statements, or protected forward-looking statements.
