Biography

Max Scott is a partner Weil’s Technology & IP Transactions practice and is based in San Francisco. Max advises clients in complex commercial transactions with a focus on technology and IP-related deals, including the IP aspects of strategic buyer, mergers and acquisitions, and venture capital transactions.
Max advises clients on matters related to the joint-development, licensing, acquisition, sale, use and protection of IP. He also assists with agreements for the provision of technology-related services, reseller agreements, and outsourcing and distribution agreements.

- Adobe in all IP aspects of its $1.68 billion acquisition of Magento Commerce.
- Marvell Technology Group in all IP aspects of its $6 billion acquisition of Cavium Inc. and in its $450 million acquisition of Aquantia.
- Synopsys in the IP aspects of its acquisition of Black Duck Software and Sidense Corp.
- Charlesbank Capital Partners and its portfolio company Bridges Consumer Healthcare in Bridges’ acquisition of KT Health, LLC.
- PSG and 2ndWave Software in its acquisition of JAMS from Fortra (a portfolio company of TA Associates).
- Dignity Health, the fifth largest health care provider in the United States, in numerous large technology, outsourcing, and IP-related transactions.
- Kenco Logistics, a third-party logistics group, in IP and commercial aspects of an investment by Pritzker Private Capital, a leader in family direct investing.
- Dialog Semiconductor in IP aspects of its $276 million acquisition of Silego Technology.
- H.I.G. Capital in its $118 million acquisition of Quisitive Technology Solutions Inc. and in its take-private acquisition of Converge Technology Solutions Corp.
- TruArc Partners in the sale of AI Fire in a transaction that implies an enterprise value over $1 billion.
- Atlassian in all IP aspects of its acquisitions of OpsGenie, AgileCraft, Code Barrel, Halp, and Mindville.
- eBay in all IP aspects of its acquisition of Giosis Pte Ltd's Japanese ecommerce business, including the Qoo10 platform.
- A major consumer retailer in the negotiation of an agreement for an enterprisewide hosted enterprise resource planning system.
- Walmart in all IP aspects of its $16 billion acquisition of a majority stake in Flipkart and one its agreement to acquire Alert Innovation, a grocery automation company.
- Intel Corporation on the IP aspects of multiple transactions, including its $900 million acquisition of Moovit.
- Tyson Foods on the IP aspects of its $1.2 billion sale of its pet treat business to General Mills.
- Autodesk on all IP aspects of its $1 billion acquisition of Innovyze.
- Oracle on all IP aspects of its $28 billion acquisition of Cerner Corporation.
- Sovos Brands on all IP aspects of its acquisition by The Campbell's Company in a deal valued at $2.7 billion.
