
Nate Montalto is an associate in Weil’s Securities Litigation practice, where he focuses on defending M&A and securities litigation in state, federal, and international courts across a variety of industries, as well as handling internal and regulatory investigations, including those before the Securities and Exchange Commission and the Financial Industry Regulatory Authority.
Some of Nate’s representative experience includes serving on Weil teams in the following engagements:
- FGL Holdings – representing FGL Holdings in stockholder appraisal action in the Grand Court of the Cayman Islands resulting from Fidelity National Financial Inc.’s $2.7 billion acquisition of FGL Holdings. Following a three-week trial the court concluded that “the Transaction Price of US$11.06 … is the best central indictor of fair value and should be given full weight.”
- Brookfield Asset Management – representing Brookfield in stockholder litigation relating to its acquisition of GGP, Inc. in the Delaware Court of Chancery.
- General Electric Company – representing GE and its directors and officers in connection with stockholder derivative litigation in New York state court.
- Ocean Link Partners – representing Hong Kong-based Ocean Link, a member of a consortium of buyers that took 58.com private in an $8.7 billion deal, and its executives in connection with pre-trial discovery under 28 U.S.C. § 1782.
- AMC Entertainment – representing AMC, the largest movie theater operator in the world, in earnings miss securities class actions and related shareholder derivative litigation in the Southern District of New York.
- Willis Towers Watson – representing Willis and certain of its officers and directors in connection with federal securities and state fiduciary duty litigation relating to Willis’ “merger of equals” with Towers Watson.
Nate maintains an active pro bono practice. In 2023, he was honored by Sanctuary for Families at its annual Above & Beyond Awards for his successful work on behalf of a Sanctuary for Families client.
Nate received his J.D. from the University of Michigan Law School where he was a Dean’s Scholar. During law school, he served as a Judicial Intern to the Hon. Frederic Block of the United States District Court for the Eastern District of New York.
Nate received his B.A. in Political Science & Government from Sarah Lawrence College.
