Adeline Park
Adeline Park is an associate in Weil’s Technology & IP Transactions practice and is based in New York. Adeline participates in advising Firm clients in a variety of matters relating to the licensing, acquisition, development, sale, use and commercial exploitation of intellectual property and technology. She also participates in advising clients regarding privacy and data security issues in the context of corporate transactions.

Adeline has been part of teams advising on the technology and intellectual property aspects, as well as on the data privacy and cybersecurity aspects of the following matters:

  • Advent International in its $6.4 billion acquisition of Maxar Technologies; its acquisition of Layerzero Power Systems, Inc.; its $800 million sale of Lanteris Space Holdings; and in its sale of Certinia Inc. (f/k/a FinancialForce.com, Inc.)
  • American Securities LLC in the $3.25 billion sale of CPM Holdings Inc. and ASP MWI Holdings Inc. to Rosebank Industries
  • Blackstone, along with Greater Sum Ventures, in its preferred equity investment in Inhabit
  • Brookfield Asset Management in its acquisition of DWS’ Private Equity Secondaries business; its $900 million acquisition of Fosber; and together with Schoeller Allibert in its merger with Intelligent Packaging Limited
  • Clayton Dubilier & Rice in the merger of its portfolio company Cynosure with Lutronic Corporation
  • The Home Depot, Inc. in its $5.5 billion acquisition of GMS Inc.
  • John Wiley & Sons, Inc. in its approximately $200 million sale of Wiley University Services to Academic Partnerships (a portfolio company of Vistria Group) and its sale of Wiley Edge to Inspirit Capital
  • Kainos Capital LP and Evriholder Products, LLC in its acquisitions of Axe Holdings, LLC and Home Sweet Home Holdings, Inc.
  • Luxor Capital Group in its investment in Montage Hotels & Resorts (d/b/a Montage International)
  • Nexa Equity LLC in its acquisition of Easy Metrics Inc.
  • PSG and its portfolio company Inktavo, LLC in its acquisition of OrderMyGear, LLC; and its portfolio company LivTech in its acquisition of Alora Healthcare Systems
  • Reservoir Capital Group, LLC in sale of its majority stake in ClearCaptions LLC to CC Opportunities, LLC
  • RTI Surgical, Inc. (a portfolio company of Montagu Private Equity) in its acquisition of Cook Biotech Incorporated and Cook Biotech Europe ApS  from Cook Group Incorporated
  • Sanofi SA in its pending acquisition of Provention Bio Inc. (PRVB) for $2.9 billion in cash; its $2.2 billion acquisition of Dynavax Technologies; and its approximately $2.2 billion acquisition of Inhibrx, Inc
  • TruArc Partners (f/k/a Snow Phipps Group) in its acquisition of Trademark Cosmetics, Inc. and its sale of AI Fire in a transaction that implies an enterprise value over $1 billion

Adeline received her J.D. from Duke University School of Law and her B.A., with distinction and Phi Beta Kappa, from the University of Virginia.
