Mark Usatinsky is an associate in Weil’s Securities Litigation practice. He defends securities class actions, shareholder derivative litigation, and other complex business disputes in state and federal courts.

Some of Mark’s recent experience includes serving on Weil teams representing:

  • The Kroger Co. in Delaware Court of Chancery breach-of-contract litigation against Albertsons Companies, Inc. stemming from the companies’ blocked merger.
  • Gores Holdings V, a SPAC sponsored by The Gores Group, and its former directors and officers in Delaware Court of Chancery fiduciary duty litigation stemming from Gores Holdings V’s merger with Ardagh Metal Packaging S.A.
  • Digital Currency Group, Inc. and certain executives in a federal securities fraud class action brought by plaintiffs claiming damages stemming from an alleged “sham transaction” that was supposedly orchestrated to hide signs of an impending loss.
  • A fintech-focused private equity firm facing contract and fiduciary duty claims by a minority owner of one of its portfolio companies.

Mark also maintains an active pro bono practice. He is currently working on Weil teams that are litigating public records requests, advising on First Amendment issues, and assisting with a potential Section 1983 lawsuit.

Before joining Weil, Mark served as a law clerk at the United States Court of Appeals for the Seventh Circuit in Milwaukee, Wisconsin.

Mark graduated summa cum laude and Order of the Coif from Duke University School of Law, where he served as a research editor for the Duke Law Journal. During law school, Mark also interned with the United States Attorney’s Office for the Western District of Wisconsin and spent a semester in practice with the Mecklenburg County Public Defender’s Office. He received his B.A. in economics and international relations, magna cum laude, from Tufts University.
