Weil has advised automotive suppliers Bosch, Schaeffler, ZF and AUMOVIO on the tax law aspects of the sale of their joint venture SupplyOn to Bain Capital.
Weil’s German Tax team provided comprehensive tax-related support for the transaction. The advice centered in particular on the design and implementation of a complex tax transaction structure on the sellers’ side, involving the specific challenge of aligning the tax interests of all sellers. In addition, Weil was responsible for negotiating the transaction documents from a tax perspective.

The assignment underlines Weil’s strength in structuring complex transactions at the intersection of the technology and automotive industries.
The parties agreed not to disclose the financial terms of the transaction.
