Sara Allawi
Sara Allawi is a partner in Weil’s Private Funds practice and is based in New York. Sara advises global private equity sponsors and asset managers in connection with the formation, structuring and negotiation of their investment funds. She has counseled sponsors with respect to every stage of a fund's lifecycle, across a diverse spectrum of strategies, including buyout, credit, real estate, venture, secondaries and infrastructure, amongst others. She has represented institutional investors and regularly assists clients with strategic co-investments and separately managed accounts as well as upper tier arrangements.

Sara’s representative clients include Blue Owl Capital, H.I.G. Capital, Bregal Sagemount, I Squared Capital, Oaktree Capital Management and TPG, amongst others.

Sara has been recognized since 2023 by Best Lawyers: Ones to Watch in America.

Prior to joining Weil, Sara was a partner at another international law firm.

Sara received her J.D. from The George Washington University Law School, where she served on The Federal Circuit Bar Journal, and her B.A. from Tufts University.

  • Represented I Squared Capital in the formation of ISQ Global Infrastructure Fund III, a $15 billion infrastructure fund, and ISQ Growth Markets Infrastructure Fund, a $1.7 billion infrastructure fund.
  • Represented H.I.G. Capital in the formation of its first dedicated infrastructure fund, H.I.G. Infrastructure Partners, and various strategic co-investment vehicles alongside the fund, which closed on approximately $1.3 billion. 
  • Represented H.I.G. Capital in the formation of its oversubscribed flagship middle market buyout fund, which closed on approximately $2 billion.
  • Represented H.I.G. Capital in the formation of various funds across Latin America and the U.S., mostly focused on middle market buyouts.
  • Represented Blue Owl Capital in various transactions and in the formation, structuring and offering of various funds and companies.
  • Represented Blue Owl Capital in upper-tier arrangements across various platforms.
  • Represented Bregal Sagemount in the formation of its flagship fund, Bregal Sagemount V, which closed on $3.5 billion.
  • Represented Oaktree Capital Management in various fundraises including for closed-end and open-end funds across multiple strategies, including credit and real estate.
  • Represented TPG on the formation of its Rise Climate II fund, a global climate focused fund targeting $8-10 billion, and Global South Initiative fund, an emerging markets climate focused fund targeting $1 billion.
  • Represented Sentinel Capital Partners on the twin offerings of its flagship and junior capital funds, totaling approximately $5.2 billion.
