Hilary Wilders
Hilary Wilders is an associate in Weil’s Technology & IP Transactions practice and is based in San Francisco. Hilary participates in advising clients in matters relating to the licensing, acquisition, development, sale, use and commercial exploitation of technology and intellectual property. She also participates in advising clients regarding privacy and data security issues in the context of corporate transactions.

 Hilary has been part of the teams advising, among others:

  • Advent International in its $800 million sale of Lanteris Space Holdings
  • American Securities in the sale of AS Birch Grove LP to Third Point LLC.
  • Bryson DeChambeau-led investor group in its acquisition of Sportsbox AI.
  • Fathom Point Capital in its acquisition of Modus Advanced, LLC.
  • Nexa Equity in its acquisition of Facility Grid
  • Nicklaus Companies, LLC in the $35.7 million sale of substantially all of its assets to 20 Majors, LLC. 
  • OMERS Private Equity and its portfolio company Epiq Systems, Inc. in the sale of Epiq’s Global Business Transformation Solutions (Epiq GBTS) division to K2 Services, LLC
  • One Investment Management in its $200 million investment in Noveon Magnetics Inc. 
  • PAI Partners and its portfolio company Alphia Inc. in its acquisition of substantially all of the assets of the pet food manufacturing plant located in Pittsburg, TX from U.S. Pet Food, L.L.C. and SGAA Logistics, L.L.C.
  • PSG and its portfolio company Inktavo, LLC in its acquisition of OrderMyGear, LLC

  • Stoneridge, Inc. in the sale of its control devices business to an affiliate of Center Rock Capital Partners, L.P.
  • Trive Capital in its acquisition of Valor Healthcare Inc. 
  • WhiteHawk Income Corporation in its acquisition of PHX Minerals Inc.
  • Various clients in the sports, entertainment, and consumer sectors on intellectual property and commercial matters, including name, image and likeness arrangements, trademark and branding matters, sponsorship agreements, and related licensing arrangements.
  • Various fund and corporate clients on the development and implementation of AI governance frameworks and internal policies relating to generative AI use, data security, confidentiality, and regulatory compliance.

Prior to joining Weil’s Technology & IP Transactions practice, Hilary was an associate in Weil’s Private Equity practice and participated in the representation of public and private companies in a variety of transactional matters, including mergers and acquisitions, equity investments and divestitures.

Hilary was part of the teams advising, among others:

  • Galvanize Climate Solutions in its investment in Ascend Analytics
  • Genstar Capital in its acquisitions of Marcone Appliance Parts Center, Inc. and The SEER Group LLC; its sale of Infinite Electronics, Inc.; Marcone Appliance Parts Center, Inc. in its acquisitions of Munch's Supply and Professional Plumbing Group; and Clarience Technologies, LLC (f/k/a Truck-Lite Company LLC) in its acquisition of ECCO Holdings Corp.
  • Gores Guggenheim, Inc., a SPAC sponsored by affiliates of The Gores Group and Guggenheim Capital, in its $20 billion business combination with Polestar Performance AB
  • Gores Holdings VI, Inc., a SPAC sponsored by The Gores Group, in its $2.9 billion business combination with Matterport, Inc.
  • Gores Metropoulos II, Inc., a SPAC sponsored by Gores Metropoulos Sponsor II LLC (an affiliate of The Gores Group and Dean Metropoulos), in its $1.925 billion business combination with Sonder Holdings
  • Leafly Holdings, Inc. in its business combination with Merida Merger Corp. I, a SPAC sponsored by Merida Capital Holdings and its issuance of convertible notes to Merida Capital Partners and certain other purchasers
  • Founders of Prism Medical Products, LLC in the sale of a 70% interest in Prism to Henry Schein, Inc.
  • Sumeru Equity Partnersin its $300 million acquisition of beqom SA and beqom SA in its acquisition of PayAnalytics ehf
  • SumUp Payments Limited in its $317 million acquisition of Fivestars, Inc.
  • TPG Global in its acquisition of preferred stock of Sauce Labs Inc.
  • TPG Tech Adjacencies, an affiliate of TPG Capital, in its acquisition of a minority stake in ABC Technologies B.V. (n/k/a Au10tix Technologies B.V.)

Hilary received her J.D., summa cum laude, from Texas Tech University School of Law. While in law school, Hilary served as Comment Editor on the Texas Tech Law Review and clerked at the Supreme Court of Texas.
