Stefania D. Venezia
Stefania D. Venezia is a partner in Weil's Securities Litigation practice group. She focuses on litigation of securities and derivative matters in state and federal courts. Stefania also has extensive experience advising on M&A-related litigation, and counseling boards of directors and senior management with respect to securities, corporate governance, disclosure and regulatory issues, among others. She also advises in connection with internal, governmental and regulatory investigations, including those before the Securities and Exchange Commission, the New York Stock Exchange, and the Financial Industry Regulatory Authority.

Some of Stefania’s notable experience includes serving in lead roles on Weil teams representing:

  • AMC Entertainment, the largest movie theater operator in the world, in earnings miss securities class actions and related shareholder derivative litigation in the S.D.N.Y.
  • Brookfield Asset Management and certain of its affiliates in a consolidated stockholder derivative and class action in Delaware Chancery Court arising out of a June 2018 private placement by TerraForm Power, Inc.
  • Sanofi in a significant breach of contract litigation in the S.D.N.Y. commenced by holders of contingent value rights issued by Sanofi as partial consideration for its acquisition of Genzyme Corporation.

Stefania is a member of the Firm’s Professional Development Committee and a leader of Mothers@Weil.

In 2014, Stefania was recognized as a “Rising Star” by New York Super Lawyers, and was also named to Corporate Responsibility Magazine’s “Legal Who’s Who” in Securities Litigation.

Stefania graduated summa cum laude from Seton Hall University in 2001, and received her Juris Doctor degree, magna cum laude, from Seton Hall University School of Law in 2004, where she served as Editor-in-Chief of the Seton Hall Law Review.
