Since joining Weil, Mr. Janeček has advised on numerous major transactions in the area of mergers and acquisitions, privatization and restructuring, corporate and financial law. His most recent major representations include advising AnaCap Financial Partners in a proceeding before the Czech National Bank for the acquisition of Banco Popolare Czech Republic; Cinema City in connection with its acquisition of Palace Cinemas; and GE Money in connection with overall corporate and financial restructuring of its businesses in the Czech Republic. Mr. Janeček also advised GE Capital Corporation in connection with the purchase of non-performing loans from Komerční banka and Česká spořitelna, and was a member of a team providing legal services to Czech Airlines in connection with the purchase, financing and leasing of new medium-haul fleet of 12 Airbus aircraft, as well as other various financial and operating leases of aircraft.
Mr. Janeček has also provided legal services to ČEZ Group, the largest utility and biggest public company in Central and Eastern Europe, in connection with several transactions, including the acquisition of shares in Energotrans and Dalkia Ústí nad Labem, major regional heating companies and the acquisition of a 15% stake in Dalkia Česká republika, as well as various other acquisition projects within Central and Eastern European countries, such as the acquisition of energy companies in Poland, the acquisition of a 7% stake in MOL NYRT, a major Hungarian oil company, the privatization of power plants and distribution companies in Turkey, and ČEZ’s planned acquisition of several distribution companies in Ukraine.
In addition, Mr. Janeček has provided legal services to CCMP Capital Advisors in connection with the divestment of shares in Nowaco group; General Electric Company in connection with its acquisition of selected assets of Walter Engines, the leading Czech manufacturer of aircraft engines; Unipetrol Group in connection with the sale of its shares in the Kaučuk, Spolana and Paramo energy companies; Wikov MGI in connection with its acquisition of Škoda Power; Vítkovice in connection with the sale of several of its subsidiaries (in particular Vítkovice Steel), as well as its subsequent restructuring process; Prokom Software in connection with the purchase of a 97% share in PVT and the subsequent sale of its core business to Asseco Czech Republic, the major ICT/IS provider in the Czech Republic.
Other clients for whom Mr. Janeček has provided transactional legal advice include the Prague Airport, Škoda Praha; and Unipetrol. In the area of general commercial, corporate and financial law, he has advised PKN Orlen and other companies within its group, ČEZ, GE Consumer Finance Group, and numerous other clients.
