Biography

Fabio Pazzini
Fabio Pazzini is an associate in the Banking & Finance group in London, and a member of the European High Yield team. Fabio regularly advises private equity sponsors, corporates and financial institutions on international capital markets and leveraged finance transactions, with particular emphasis on high yield bond offerings. He also has experience advising on bond restructurings, liability management transactions, private placements and direct lending financings.

  • Advising an ad-hoc group of noteholders of Ideal Standard’s €325 million 6.375% senior secured notes due 2026 in relation to its exchange offer, consent solicitation and scheme solicitation
  • Advising an ad hoc group of bondholders on Worldwide Flight Services (“WFS”) tender offer
  • Advising Ardian and the Biofarma Group on the private placement of $220 million (equivalent) senior secured notes for the acquisition of U.S. Pharma Lab.
  • Advising an ad hoc group of noteholders in relation to the consensual recapitalization and financial restructuring of Frigoglass S.A.I.C and the group of companies formerly controlled by it (the “Frigoglass Group”)
  • Advising Odeon Cinemas Group, a subsidiary of AMC Entertainment Inc., in its offering of $400 million senior secured notes
  • Advising One Investment Management on its investment in privately placed senior secured convertible bonds issued by Yoda PLC
  • Stirling Square Capital Partners portfolio company Itelyum in connection with its inaugural high yield bond offering of €450 million sustainability-linked senior secured notes and two follow-on offerings
  • Kantar, a portfolio company of Bain Capital, in connection with its $425 million offering of senior secured notes to finance its acquisition of Numerator
  • Advised InPost S.A. (Advent) on its inaugural high yield bond offering of €490 million senior notes
  • Carlson Travel in connection with its debt restructuring, comprising an exchange offer, a consent solicitation, issuance of $125 million senior secured priming notes and shares of common equity*
  • Tereos on its inaugural high yield bond offering of €300 million senior notes*
  • Ardagh Packaging Finance and Ardagh Holdings USA  their offering of £400 million senior notes, and redemption of €405 million  senior secured notes*
  • Jaguar Land Rover on its offering of $500 million senior notes*
  • Topaz Marine on its offering of $375 million of senior notes*
  • Cooperativa Muratori & Cementisti on its €325 million high yield bond offering*
  • Nuovo Trasporto Viaggiatori in connection with €550 million senior secured high yield bond offering*
  • The initial purchasers in connection with Stonegate Pub Company Limited’s offering of £500 million senior secured notes*
  • The initial purchasers in connection with PetroRio’s proposed offering of $450 million aggregate principal amount of senior secured notes*
  • Barclays Bank PLC, as sole bookrunner, on Stonegate Pub Company Financing’s high yield notes offering of additional £150 million floating rate senior notes*
