Weil Advises Upfield on the Acquisition of Arivia

Weil’s Munich and Frankfurt offices are advising Upfield Group B.V. on the acquisition of Arivia S.A., a worldwide leading developer of plant-based cheese and other dairy and dairy-free products and owner of the brand VIOLIFE. The closing of the transaction is subject to clearance by the relevant antitrust authorities and customary closing conditions. It was agreed not to disclose the purchase price.

Upfield Group is the former Unilever margarine and spreads business that was spun off by the British-Dutch transnational consumer goods company and subsequently acquired by financial investor KKR for €6.83 billion at the end of 2017. The business includes iconic brands such as Flora, Rama, I Can't Believe It's Not Butter and Country Crock. The strategic acquisition will enable Upfield to enter a new business segment.

The Weil transaction team was led by Munich Corporate partner Gerhard Schmidt and included Tax partner Tobias Geerling (Munich), Corporate partner Barbara Jagersberger (Munich) and Litigation partner Britta Grauke (Frankfurt) as well as Corporate associates Manuel-Peter Fringer, Alexander Pfefferler, Carolin Obermaier, Ramona Frenzel, and Marcel Andersen (all in Munich), and Ansgar Wimber, Julian Schwanebeck, Thomas Weise, Aurel Hille and Kai Neumann (all in Frankfurt); Tax associates Benjamin Rapp, Dennis Reisich and Manuela Minsel (all in Munich); Finance associates Thomas Zimmermann and Alexander Wandt (Munich); Employment Litigation associate Mareike Pfeiffer (Frankfurt); and IP associates Konstantin Hoppe and Barbara Sandfuchs (Munich).
