Weil Advises GE in its Proposed $3.3 Billion Acquisition of Lufkin Industries

Weil is advising longtime client General Electric in connection with its proposed $3.3 billion acquisition of Lufkin Industries Inc., a Texas-based publicly traded provider of artificial lift technologies for the oil and gas industry and a manufacturer of industrial gears, broadening GE Oil & Gas’ artificial lift capabilities and complementing GE’s existing product line. GE will pay Lufkin shareholders $88.50 per share in cash. The transaction is expected to close in the second half of 2013.
