Heads Up for the 2016 Proxy Season: Verify Your ISS QuickScore Data Now

On November 2, 2015, Institutional Shareholder Services announced that its Quickscore data verification period had opened. During the data verification period, companies may access and update the underlying data that ISS uses to calculate their QuickScore governance ratings. Companies should verify their data and provide feedback before the data verification window closes on November 13, 2015 at 8:00 p.m. EST.

Key Dates:

  • November 2, 2015 - QuickScore data verification period opened
  • November 9, 2015 - Deadline for providing comments to ISS on proposed proxy voting policy changes (6:00 p.m. EST)
  • November 13, 2015 - Deadline for verifying QuickScore data (8:00 p.m. EST)
  • November 18, 2015 - ISS to release proxy voting policies for the 2016 proxy season
  • November 23, 2015 - New QuickScores published and begin to appear in ISS research reports; QuickScore data verification reopens (except between a company's proxy filing and shareholder meeting)

ISS also announced that, for U.S. companies, QuickScore will now track whether companies allow for proxy access. Specifically, ISS will track the ownership threshold and holding period required to exercise the proxy access right, the number of shareholders permitted to aggregate their holdings, and the number or percentage of board seats allowed for proxy access nominees. However, ISS has indicated that its tracking of proxy access is for screening purposes only and should not impact a company's QuickScore.

Finally, ISS indicated that it has made selective adjustments to its QuickScore scoring methodology to address evolving corporate governance expectations. Additional information about these revisions should be available in the coming weeks.
