Corey Chivers has been recognized as an MVP in Capital Markets by Law360 for his work on a number of groundbreaking transactions including his guidance of the historic transformation of General Electric’s capital structure and his counseling of underwriters of large bond offerings by Microsoft Corp.
Mr. Chivers, initially attracted to Capital Markets because of its international component, was able to work on many cross-border deals this year. He led a team on GE’s $36 billion debt exchange offer with a new European affiliate called GE Capital International Funding Co. He referred to the deal as a “once-in-a-generation project.”
Mr. Chivers also guided underwriters on a $19.75 billion investment-grade bond deal issued by Microsoft Corp. in August to help fund its $26.2 billion acquisition of professional networking site LinkedIn. He noted the challenge with representing underwriters is that there are multiple clients involved, making diplomacy amongst the parties essential. He also noted the importance of maintaining a good relationship with the issuing company so that the issuer views the attorney as a helpful part of the process and not a hindrance.
Mr. Chivers helmed several other notable deals including advising AMC Entertainment Holdings’ combined U.S. dollar- and pound-denominated offerings totaling $900 million to help finance the company's $1.2 billion acquisition of U.K. multiplex operator Odeon & UCI Cinemas Group Ltd. and guiding a $1 billion offering from U.K. insurance broker Willis Towers Watson PLC in March, plus a €540 million ($609 million) deal from that company in May. He also counseled cosmetics maker Estee Lauder on a $600 million offering, and medical equipment company C.R. Bard Inc. on a $500 million deal, both in May of 2016.
