R. Todd Hatcher is a Tax associate in Weil’s New York office. Mr. Hatcher’s practice focuses on the federal income tax aspects of a wide variety of transactions, including public and private mergers, acquisitions and spin-offs; debt and equity restructurings, reorganizations and workouts; LLC and partnership formations; debt and equity offerings; financing agreements; collateralized loan obligation offerings and other securitizations; and non-profit formations and operations.
Mr. Hatcher’s recent experience includes significant involvement in the representation of General Growth Properties, Inc. in connection with its emergence from bankruptcy and the spin-off of The Howard Hughes Corporation and Rouse Properties, Inc. Mr. Hatcher was also part of the team representing Washington Mutual, Inc. in connection with its bankruptcy and the formation of the WMI Liquidating Trust. In addition, he recently participated in the representation of the private equity firm Silver Lake Sumeru in connection with its acquisition of Velocity Technology Solutions, Inc.
Mr. Hatcher is a member of the Tax Section of the New York State Bar Association, a member of the American Bar Association, and serves on Weil‘s Associates Committee.
Mr. Hatcher is actively involved in the firm's pro bono efforts, having been significantly involved in the formation and operation of multiple tax-exempt organizations, including the establishment of grant programs and lobbying programs. Mr. Hatcher has also supported the firm’s pro bono efforts by assisting in the development of standardized formation documents and other materials and by participating on an instructional panel for Weil attorneys on the considerations with respect to forming a non-profit organization.
