Simeon Gold concentrates his practice in mergers & acquisitions, private equity, securities and corporate restructurings. He also represents corporate boards and committees of independent directors in M&A, going private and affiliated transactions.
As co-head of the firm’s Corporate Restructuring practice, Mr. Gold works with the firm’s bankruptcy and tax specialists on Chapter 11 and out-of-court restructurings, including debt tender and exchange offers, consent solicitations and distressed M&A transactions for debtor/sellers and strategic and financial buyers. His recent restructuring representations include Washington Mutual, General Growth Properties, Blockbuster, American Capital, BearingPoint, Advanta, Magna Entertainment, Nortek, AIG, General Motors, Delphi, SemGroup, Panolam, Extended Stay Hotels, International Aluminum, Lenox Group, Sharper Image and Steve & Barry’s.
Mr. Gold has, in his M&A practice, extensive experience in public and private mergers & acquisitions and in structuring, negotiating and implementing leveraged buy-outs and management buy-outs and representing private equity firms.
Mr. Gold is consistently recognized in Best Lawyers in America and Super Lawyers. He is a frequent lecturer on a variety of legal topics and is co-editor of the two-volume ABA/Euromoney treatise entitled Reorganizing Failing Businesses. He co-chaired a Prentice Hall Law & Business seminar on Restructuring Financially Troubled Companies: Techniques That Work Today.
Mr. Gold is active in bar association activities and is past chair of the Business Law Section of the New York State Bar Association. He previously served a four-year term as chair of the State Bar’s Committee on Corporations and Other Business Entities, where he played an active role in the enactment of significant amendments to the New York Business Corporation Law and the adoption of New York’s limited liability company law and its revised limited partnership law.
