Ryan Gallagher is an associate in the firm’s Corporate Department and is resident in the Silicon Valley office. Mr. Gallagher’s practice focuses on mergers & acquisitions, private equity, cross border and securities transactions. In addition, Mr. Gallagher advises clients on various corporate governance and SEC reporting issues.
Mr. Gallagher has represented companies in acquisitions and dispositions of both private and public companies, including numerous transactions for private equity sponsors and their portfolio companies. Illustrative transactions include the representation of:
- Summit Partners in its acquisitions of Help/Systems and Access Information Management;
- Symantec Corp. in its acquisitions of LiveOffice and GuardianEdge Technologies;
- The Gores Group in its additional investment in Tiburon Inc.;
- Core-Mark Holding Company in its acquisitions of Forrest City Grocery Co., Auburn Merchandise Distributors and Klein Candy;
- WL Ross & Co. in the sale of its equity stake in SpiceJet;
- Providence Equity Partners in the cross-border acquisition of eTelecare Global Solutions;
- Genstar Capital LLC in its acquisitions of Voice Construction, ConvergeOne, Panolam Industries International and the add-on acquisitions of Lighthouse1 and Nevamar;
- Sequoia Capital in its investments in Weebly, eMeter Corporation and GSI Commerce;
- Maxim Integrated Products its acquisitions of Mobilygen Corporation and certain product lines of Zilog, Inc.;
- Altra Holdings, Inc. in its initial public offering and its subsequent acquisition of TB Wood’s Corporation through a public tender offer;
- Bebo, Inc. in its sale to AOL; and
- Genetic Finance in its Series A and Series B private financings.
Mr. Gallagher also regularly works with Core-Mark Holding Company and Maxim Integrated Products with respect to SEC reporting issues.
Mr. Gallagher received his J.D. from Northwestern Law School and his MBA from the Kellogg School of Management. Mr. Gallagher received his B.A. from the University of California, Los Angeles.
