Rob Beard is a Capital Markets associate in Weil’s Silicon Valley office. Rob has experience in all aspects of representing US and non-US companies, investment banks, and multinational financial institutions in a wide range of public and private securities offerings, including equity offerings, major high-yield transactions, and investment grade debt offerings. He is also involved in advising US and non-US companies on compliance with US securities laws, corporate governance, liability management, mergers and acquisitions and other corporate matters, and is involved in advising private equity sponsors on financing leveraged buyouts.
He has been part of several teams representing clients on a range of transactions including:
- Equity: representations include global equity offerings for AngloGold Ashanti, including its $1.58 billion SEC-registered offering of equity securities and mandatory convertible bonds, and Piraeus Bank S.A. on its €807 million rights issue.
- High-yield debt: representations include significant roles in approximately 15 offerings since 2010 with an aggregate deal value of more than $10 billion.
- Investment grade debt: representations include $1 billion Senior Notes offering by CEZ. a.s., and the underwriters in connection with several offerings of HSBC Bank plc's global Senior Notes from 2010-2011, totaling more than $10 billion.
- Hybrid debt: representations include the underwriters in connection with HSBC Holdings plc’s offering of $3.8 billion of 8.00% Perpetual Subordinated Capital Securities and AngloGold Ashanti on its mandatory convertible bonds.
- LBO financings: representations include CCMP and Milacron in Milacron's leveraged buyout of Mold-Masters, and Silver Lake Partners and Partners Group in their €1 billion leveraged buyout of Global Blue.
Rob has been resident in Weil’s London and New York offices and has significant cross-border experience, having worked on transactions in more than 20 countries worldwide.
Prior to entering private practice, Rob served as a law clerk to the Honorable Judge N. Randy Smith, United States Court of Appeals for the Ninth Circuit and was a Visiting Assistant Professor at the University of Illinois College of Law, where he taught Contracts, Securities Regulation and Corporate Legal Research.
