Raymond Gietz, a partner of the firm since 1989, specializes in mergers and acquisitions, advising boards of directors and committees on conflict transactions, corporate governance and other matters and other corporate representations.
Recent M&A transactions include advising: General Motors in its $45 billion sale to a government-sponsored entity; Lehman Brothers in its $22.2 billion acquisition of Archstone-Smith Trust; UnitedHealth in its $9.2 billion acquisition of PacifiCare Health Systems; Florida Rock in its $4.5 billion merger with Vulcan Materials; NBC Universal in its $600 million acquisition of iVillage; McData in its $713 million merger with Brocade Communications; General Electric Company in its acquisition of the credit card businesses of Hudson Bay and Chevron; The Dobson Family Partnership in connection with the $2 billion AT&T - Dobson Communications merger; Brookfield in connection with the $325 million CRIIMI MAE - CDP Capital merger and; A Committee of Independent Directors of Sunrise Senior Living in its review of strategic alternatives.
Mr. Gietz also has been involved in numerous proxy fights and other contests for corporate control, including most recently those involving Six Flags Inc. and Motient Corporation.
Mr. Gietz also advises boards of directors and special committees regarding shareholder rights plans and corporate governance, related party transactions and other matters, including most recently the Boards of Directors of Eli Lilly, AK Steel and Hollywood Entertainment.
Mr. Gietz received his B.A. from Columbia College, where he was elected to Phi Beta Kappa, and his J.D. from the Columbia University School of Law, where he was a Harlan Fisk Stone Scholar.
