Biography

Sarah Gabbai
Sarah Gabbai is a senior associate in the London tax team. She advises clients on a broad range of UK and international tax matters arising in the context of corporate and private equity transactions, leveraged finance, private funds, group reorganizations and debt restructurings.

Sarah has advised a number of major corporates, banks, fund managers and private equity houses while at previous firms. Representative experience includes:

  • Investment bank lenders and corporate borrowers on tax aspects of a number of senior credit facility agreements
  • A debt investment company lender on tax aspects of various note purchase /private placement agreements
  • A multinational corporation on the sale of part of its business
  • Various private limited companies on M&A transactions
  • An investment bank on its acquisition of a property development company
  • Private equity firms on tax aspects of various secondary acquisitions of portfolio companies, including auction bids
  • A private equity firm in connection with an investment agreement and related structural/ operational matters for its private equity fund
  • Various listed corporates on tax aspects of bond issuances, including high yield
  • A multinational corporation in connection with its co-investment with a private equity fund
  • Multinational groups on UK tax issues in connection with group reorganizations and debt restructurings
  • A multinational mining company on the UK tax consequences of consolidating and restructuring its US operations
  • Various investment managers on the tax aspects of an offer prospectus for their funds
  • Advice on equity incentive arrangements

Prior to joining Weil, Sarah was a senior associate in the tax team at another US law firm, and has also worked at one of the ‘Big 4’ accounting firms.
