Weil, Gotshal & Manges is counsel to General Electric and NBC Universal in their landmark joint venture with Comcast, announced December 3, 2009. One of the largest media deals in recent years, and GE’s largest transaction, the joint venture, with assets valued at $37.25 billion, changes the face of the media landscape.
Under the terms of the deal, Comcast, the largest U.S. cable service provider, will contribute $6.5 billion in cash and its own cable TV networks for a 51% stake in NBC Universal, which owns television networks, a movie studio, theme parks and local television stations. Parent company GE will retain a 49% stake in the joint venture. The transaction is pending regulatory approval.
