Michael Saslaw is a partner in the Dallas office of Weil, Gotshal & Manges LLP. Mr. Saslaw’s primary practice areas are mergers & acquisitions, securities offerings, financings, restructurings and corporate counseling. He has extensive experience with businesses in a variety of industries, including energy, media, technology, retail, consumer products and manufacturing.
Recent Experience
- Represented Abraaj Capital in its acquisition of a 50% interest in Viking Services Management, Ltd. and Viking Services Investments, L.P., a drilling services business operating principally in Turkey.
- Represented Trimble Navigation, developer of GPS systems and software including surveying, mapping and marine navigation equipment, in its $335 million acquisition of TMW Systems, which develops enterprise software for transportation and logistics companies.
- Represented Trimble Navigation, developer of positioning systems (GPS technology), in the acquisition of Google’s SketchUp 3D, a modeling tool for designing, modeling and visualizing projects.
- Advised Water Ice Investment (an affiliate of Falconhead Capital) in its acquisition of Rita’s Water Ice Franchise Company, a US-based operator and franchisor of over 500 Italian ice stores.
- Represented Tower Three Partners in its acquisition of Facet Technologies, provider of design, development and manufacturing services to the medical device marketplace, from Water Street Healthcare Partners.
- Represented private equity investor EQT Partners in its $270 million acquisition of US-based Restaurant Technologies, which develops, distributes and provides automated solutions for storing, handling and disposing of frying oil for the foodservice industry.
- Represented Trimble Navigation Limited, developer of GPS systems and software including surveying, mapping and marine navigation equipment, in its $235 million acquisition of PeopleNet Communications Corporation, provider of Internet-based and integrated onboard computing and mobile communications systems.
- Represented US-based Trimble Navigation in its €337 million public tender offer for all issued and outstanding shares in Finland-based Tekla Corporation, provider of Building Information Modeling (BIM) software for the construction industry.
- Represented an insurgent director candidate in his successful election to the Board of Directors of Conseco, Inc. through a proxy contest.
- Represented Lehman Brothers in its sale of Eagle Energy Partners to EDF Trading North America Management LLC and EDF Trading North America Inc. for approximately $230 million.
- Represented WL Ross in the $1.1 billion acquisition of Option One (H&R Block’s mortgage servicing business).
- Represented Electronic Data Systems Corporation in the $420 million acquisition of Saber Holdings, Inc.
- Represented Sunterra Corporation in its $700 million sale to Diamond Resorts, LLC.
- Represented GE Commercial Finance, through its subsidiary GE Energy Financial Services, in the $710 million acquisition of the natural gas retail operations of Kinder Morgan, Inc.
- Represented GE Commercial Finance, through its subsidiary GE Energy Financial Services, in the $1.5 billion sale of a 50% interest in CCE Holdings, LLC to Energy Transfer Partners, LP.
Mr. Saslaw holds a B.S., magna cum laude, from Miami University, Oxford, Ohio (1979) and a J.D. from the University of Pennsylvania Law School (1982). Mr. Saslaw was an editor of the University of Pennsylvania Law Review (1980-82).
