Lyuba Goltser is a senior associate in the Corporate Department of the New York office of Weil, Gotshal & Manges LLP and a member of the firm’s Public Company Advisory Group. She advises US public companies and US-listed foreign private issuers on securities law issues, disclosure and compliance matters, as well as on executive compensation and corporate governance. Ms. Goltser actively counsels companies on securities laws compliance in M&A and capital markets transactions. Ms. Goltser also advises public companies and not-for-profit organizations and their directors and officers on a full range of governance issues, including fiduciary duties, independence, conflicts of interest, board and committee responsibilities and structure and governance “best practice.”
Ms. Goltser is also active in the firm’s representation of numerous pro bono clients.
Ms. Goltser received her Juris Doctor degree, cum laude, from Emory University School of Law, where she was a notes and comments editor on the Emory Law Journal and she received her Bachelor of Arts degree, cum laude, from Brandeis University.
