Jill Baisinger is counsel in the Litigation Department of Weil’s Washington, DC office. Ms. Baisinger focuses her practice on regulatory and enforcement investigations, corporate counseling, and defense of securities class actions and shareholder derivative litigation in state and federal courts across the country, including on appeal.
Ms. Baisinger has defended numerous companies facing federal securities actions and successfully prepared numerous motions to dismiss those actions. Currently, she represents General Electric Company and several of its senior officers in defense of securities litigation pending in the Southern District of New York. Other notable clients have included Raymond James Financial, Inc. and TD Ameritrade.
Ms. Baisinger has extensive experience with Delaware law issues and regularly counsels Delaware corporations on a wide range of matters, including multi-jurisdictional derivative litigation, demands for books and records, appointment of special litigation and investigatory committees, indemnification and advancement provisions, and other corporate governance issues. She has represented corporations in parallel derivative actions applying Delaware law and successfully moved to dismiss for failure to plead demand futility. She has also represented corporations in simultaneous state law derivative actions and federal securities actions.
Before joining Weil, Ms. Baisinger worked for almost ten years at another prominent national law firm, where she focused on securities litigation, corporate governance, and securities enforcement matters.
Ms. Baisinger received her J.D. from Yale Law School, where she was an Editor (1996-1998) of the Yale Law Journal, and an Articles Editor (1996-1997) and then Executive Editor (1997-1998) of the Yale Journal of International Law. She received her M.A. from Queen’s University in Belfast, Northern Ireland, where she was the recipient of a Chevening Scholarship, and her B.A. from Kansas State University. Following law school, she clerked for two years for the Honorable Marvin Katz of the US District Court for the Eastern District of Pennsylvania.
