Heather Emmel is a partner in the firm's Corporate Department in New York.

Ms. Emmel’s primary area of practice is capital markets transactions, including public and private debt and equity offerings representing issuers, underwriters and selling stockholders, and advising clients regarding corporate governance issues and securities law compliance. She has also represented bidders, target companies and private equity funds in connection with public and private mergers, acquisitions and dispositions in both a private sale and auction context (including leveraged buyouts), venture capital financing and proxy contests. Recently, Ms. Emmel represented General Growth Properties, a leading real estate owner and operator of regional malls, in its historic $2.3 billion equity offering to fund its emergence from bankruptcy, one of the largest equity offerings by a REIT and the only such offering effectively undertaken while the issuer was in Chapter 11. She also represented Providence Equity Partners and Teachers’ Private Capital in the $8.5 billion high yield debt financing for its bid for the Canadian telephone company, Bell Canada Enterprises, which, had it been completed, would have ranked as the largest leveraged buyout in history.

Ms. Emmel’s issuer representations include debt financings for Husky Injection Molding Systems, INC Research, Lantheus Medical Imaging, Moneygram International and Univision Communications and equity financings for General Growth Properties and RehabCare Group. Ms. Emmel’s institutional experience includes representations of J.P. Morgan, Credit Suisse, Goldman Sachs, Citigroup, Merrill Lynch, Deutsche Bank and Lehman Brothers for numerous debt financings for companies such as Frontier Communications, Ford Motor Company and The Hertz Corporation and equity financings for companies such as Hertz Global Holdings and Entegris.

Ms. Emmel graduated from Southern Methodist University in 1998, magna cum laude, where she was an articles editor for the Southern Methodist University Law Review. She is admitted to practice law in New York and Texas and was a Certified Public Accountant in the State of California.
