Garrett Charon is an associate in the firm’s Private Equity practice and is based in New York. He has a diverse transactional and corporate counseling practice with an emphasis on representing private equity sponsors and their portfolio companies in a wide variety of transactions, including leveraged buyouts, mergers and acquisitions, strategic investments, restructurings, financings and dispositions. Mr. Charon also advises clients on general corporate and commercial matters, including securities laws, corporate governance issues and other strategic considerations.
Mr. Charon has represented a wide range of clients, including CCMP Capital, Ontario Teachers’ Pension Plan, Apollo Global Management, Guggenheim Partners, Lee Equity Partners, Irving Place Capital and JPMorgan Partners.
Mr. Charon’s professional experience includes the representation of:
- Guggenheim Partners in connection with the sale of Claymore Canada, a manager of ETFs and closed-end funds in Canada with approximately $6.9 billion under management, to BlackRock;
- Ontario Teachers’ Pension Plan in connection with its co-investment with Thoma Bravo in the $1.3 billion going private acquisition of Blue Coat Systems, Inc.;
- Ontario Teachers’ Pension Plan in connection with its control investment in Flexera Software LLC;
- Momentive Specialty Chemicals, an Apollo portfolio company, in connection with the divestitures of its global inks and adhesive resins business to Harima Chemicals, Inc. and its North American coating and composite resins business to an affiliate of Investindustrial;
- Apollo Global Management in connection with its acquisition of Regent Seven Seas Cruises and its strategic investments in Oceania Cruises and Norwegian Cruise Line;
- Harrah’s Entertainment, Inc. (now known as Caesars Entertainment Corporation) in connection with its acquisition of the Planet Hollywood Resort & Casino;
- Bear Stearns Merchant Banking group (now known as Irving Place Capital) in connection with its spin-out as an independent private equity firm from JPMorgan Chase;
- Apollo Global Management in connection with its reorganization and related financing and strategic transactions, including its sale of securities to strategic investors, and its initial public offering;
- A global financial institution in connection with the sale of limited partnership interests of a private equity fund (approximately $1.5 billion capital commitment) to secondary buyers; and
- JP Morgan Partners in connection with its sale of La Petite Academy, Inc. to A.B.C. Learning Centres Limited.
Mr. Charon received his BA, summa cum laude, from Colgate University, and his JD, magna cum laude, from Brooklyn Law School, where he was the Symposium Editor for the Brooklyn Law Review. Mr. Charon is admitted to the State Bar of New York.
