Douglas Ryder is a Corporate partner in the New York office of Weil, Gotshal & Manges LLP and a member of the firm’s Private Equity practice group. His practice focuses on representing private equity sponsors and their portfolio companies, as well as public and private companies, on various merger and acquisition, financing, restructuring and general corporate matters.
Mr. Ryder has worked with a number of private equity funds, including Apollo Management, CCMP Capital, Onex Corporation, Ontario Teachers Pension Plan, Fortress Investment Group, Advent International and Mubadala Development Company, as well as a number of public and private companies, including IAC/InterActiveCorp, AMC Entertainment, Norwegian Cruise Line, Ticketmaster, BAE SYSTEMS and Time Inc.
In 2009 and 2010, Doug was recognized by The Legal 500 United States publication as a leading lawyer in M&A for large transactions.
Mr. Ryder’s recent professional experience includes the representation of:
- AMC Entertainment Holdings, Inc. (AMC) and its controlling shareholders, Apollo Global Management, Bain Capital, Carlyle Group, CCMP Capital Advisors, and Spectrum Equity, in an agreement to be acquired by Dalian Wanda Group Co., Ltd. (Wanda) for approximately $2.6 billion
- Apollo Management in its acquisition of Rexnord Corporation from The Carlyle Group, its acquisition of Jacuzzi Brands, Inc. and its acquisition of Regent Cruise Lines; and its investments in NCL Corporation Ltd. and Oceania Cruises
- CCMP Capital in the sales of CareMore Health Group, L.P. to WellPoint, Inc., Doane Pet Care to Teachers Private Capital and Crosstown Traders, Inc. to Charming Shoppes, Inc.
- ONCAP Management Partners, L.P., an affiliate of Onex Corporation, in its investment in CiCi’s Pizza Enterprises L.P., and its acquisitions of Sport Supply Group and Hopkins Manufacturing Corporation
- Ontario Teachers Pension Plan Board in its control investment in Flexera Software LLC
- Fortress Investment Group in its acquisition of Security National Automotive Acceptance Corp.
- Mubadala Development Company in its joint venture with Sony and their proposed acquisition of EMI’s music publishing business
- IAC/InterActiveCorp in its acquisitions of OK Cupid, Urbanspoon, Lexico Publishing, Insider Pages and Sendori
- AMC Entertainment Inc. in its acquisition of Kerasotes ShowPlace Theatres, LLC
