A partner of Weil’s Corporate department and Private Equity practice, David Blittner represents private equity sponsors in connection with acquisitions, dispositions and financings. He has represented private equity sponsors for close to 15 years and has extensive experience with leveraged buyouts and dispositions of public and private companies, as well as with minority investments, public recapitalizations and restructurings. He also counsels clients on general corporate matters, including governance, equity capital markets liquidity events and securities law compliance matters.
Mr. Blittner has represented various private equity sponsors, including Avista Capital Partners, CCMP Capital Partners, Diamond Castle Partners, DLJ Merchant Banking Partners, Lion Capital and Capital Z Partners. Recent matters on which Mr. Blittner has advised include Avista Capital Partners in its acquisition, with Ontario Teachers' Pension Plan, of INC Research, INC Research in its acquisition of Kendle International, the acquisition of the assets of Transcontinental Direct U.S.A. by IWCO Direct, a portfolio company of Avista Capital, its equity investment in OptiNose, and its acquisition of Anthony International; the representation of private-equity backed Univision Communications in the $1.2 billion equity and convertible debt investment in Univision by Grupo Televisa; and Generac Holdings, a portfolio company of CCMP Capital, in its initial public offering.
Other matters include the representation of CCMP Capital Advisors in connection with its acquisition of Generac Power Systems; Avista Capital in connection with the acquisitions of Bristol-Myers Squibb Medical Imaging division from Bristol-Myers Squibb Company, IWCO Direct, and BioReliance from Invitrogen; Diamond Castle Holdings in its acquisition of York Label; Diamond Castle Holdings in its acquisition of Catamount Energy from Central Vermont Power and on the subsequent sale of Catamount Energy Corporation to Duke Energy Corporation; and a consortium comprised of DLJ Merchant Banking, CCMP Capital Advisors LLC, THL Partners and Bain Capital in their going private acquisition of Warner Chilcott Plc.
He is recognized as a "leading" lawyer in Private Equity by Chambers USA.
He is a member of the Advisory Board of the Make-A-Wish Foundation of Metro New York.
