Daniel M. Niedzwiecki

Dan Niedzwiecki (pronounced: Nidz-wickee) is a senior associate in the firm’s Boston office and a member of the firm’s Private Equity and Mergers & Acquisitions practices.

Mr. Niedzwiecki is regularly involved as the lead associate on the Weil teams representing private equity firms, their portfolio companies and corporate clients in some of the firm’s most complex transactions, both domestic and cross-border, within the large and middle markets. His experience entails work on leveraged buyouts, strategic acquisitions and divestitures (both public and private), public-to-private transactions, equity and debt financings, minority investments, joint ventures, recapitalizations and restructurings. He has also counseled clients on a range of corporate, securities law, governance and strategic matters. Recent deal work includes:

  • sponsor-backed going private transactions, such as Providence Equity’s acquisition of Blackboard and Advent International’s acquisition of Charlotte Russe;
  • public company acquisitions, such as Emera’s acquisition of Maine & Maritimes;
  • complicated joint ventures, such as Emera’s wind farm development joint venture with Algonquin Power and First Wind, representing five private equity sponsors as majority owners of Univision in that company’s strategic partnership with Televisa and Advent International’s Vantiv (f/k/a Fifth Third Processing Solutions) joint venture with Fifth Third Bank;
  • other deals in the payment processing space, including Advent International’s and Bain Capital’s acquisition of RBS WorldPay and Vantiv’s acquisition of NPC Group;
  • minority investments, including Providence Equity’s investment in Autotrader.com; and
  • numerous sponsor consortium bids and strategic acquirer bids for significant public company targets, as well as individual sponsor bids in competitive auctions for public and private company targets.

Mr. Niedzwiecki also leads one of the department’s knowledge management efforts (the “Deal Compass” market survey and database of deal terms) and is a member of the Boston office’s hiring and associate training committees.

Prior to joining Weil, Mr. Niedzwiecki clerked for the Honorable Frank H. Freedman of the United States District Court for the District of Massachusetts and worked as business law associate in a Boston-based law firm.
