Andrea A. Bernstein is a senior corporate partner with a wide ranging corporate, securities law and governance practice.

• Ms. Bernstein has extensive experience in domestic and cross-border M&A transactions, including tender offers, mergers and going private transactions; distressed M&A transactions; and debt and equity offerings.
• Ms. Bernstin advised boards of directors and managers of public companies on SEC disclosure, Sarbanes-Oxley implementation and compliance, and governance matters.
• Ms. Bernstein is the chair of the firm's Diversity Committee and is active in pro bono matters. She was inducted into the YWCA's Academy of Women Leaders in 2006.
