Andrea Bernstein is a senior corporate partner with a wide-ranging corporate, securities law and governance practice.
Ms. Bernstein has extensive experience in domestic and cross-border M&A transactions, including tender offers, mergers and going private transactions; distressed M&A transactions; and debt and equity offerings.
Ms. Bernstein advises public companies and their boards of directors and independent committees on corporate governance matters, SEC disclosure, Sarbanes-Oxley and Dodd-Frank implementation and stock exchange compliance.
Ms. Bernstein chairs the firm’s Diversity Committee and is active in pro bono matters. She was inducted into the YWCA’s Academy of Women Leaders in 2006.
Representative Transactions include numerous acquisitions and dispositions on behalf of Leucadia National Corporation including:
- Acquisition of a controlling interest in National Beef Products
- Joint ventures with Berkshire Hathaway Inc. for the acquisitions of the US mortgage organization and servicing businesses of Capmark Financial Group Inc. and control of The Finova Group out of a chapter 11 restructuring
- Acquisition of an interest in Jefferies High Yield Trading, LLC
- Acquisition of the telecommunications business of Telco Group Inc.
- Acquisition of securities of Fortescue Metals Group, Ltd, an Australian Stock Exchange-listed company
- Acquisition of control of Premier Entertainment Biloxi LLC, d/b/a Hard Rock Hotel & Casino Biloxi
- Going private transactions of various publicly-owned subsidiaries, including WilTel Communications Group, LLC and the subsequent sale of WilTel
