Mr. Lynch’s practice focuses on the representation of issuers and leading investment banks in equity capital markets transactions. He has extensive experience in initial public offerings, follow-on offerings, convertible debt transactions, strategic investments, PIPEs, private placements and venture capital financings. His practice also focuses on the representation of public and private technology, healthcare, financial services and industrial companies with respect to corporate governance issues, SOX compliance, fiduciary duty issues and mergers & acquisitions. He has worked extensively with portfolio companies of private equity sponsors and venture capital firms.
Mr. Lynch has advised issuers and underwriters in over 120 public equity and debt offerings. Notably, he served as lead counsel on many of the most prominent technology transactions in New York and has helped companies raise over $8 billion in venture and public equity capital.
Mr. Lynch has been recognized by IPO Vital Signs as one of the leading IPO lawyers in the US representing issuers and underwriters on over 25 IPOs since 1998.
Prior to joining the firm in 2004, Mr. Lynch was the managing partner of the New York office of Wilson Sonsini Goodrich & Rosati. Earlier in his career, he was a partner in the New York office of Brobeck, Phleger & Harrison LLP, where he was the co-chair of the firmwide Public Offerings Practice Group and a member of Brobeck’s Management and Investment Committees. Mr. Lynch is a member of the New York State Bar and the American Bar Association.
