Max A. Goodman is Counsel in the Tax, Benefits, and Executive Compensation Department of Weil, Gotshal & Manges’ New York office. He has extensive experience with bankruptcies and other business restructurings, including the bankruptcies of General Motors, Lehman Brothers, the Texas Rangers baseball team, the Dallas Stars hockey team, Deb Shops, and Trump Entertainment Resorts. Mr. Goodman also regularly advises on public and private mergers, acquisitions, and spin-offs, including advising Thomas H. Lee on its acquisition of the Fogo de Chão restaurant chain, Advent International on its acquisition of Morrison Supply Co., Verizon on its $1.4 billion acquisition of Terremark, and a consortium of private equity funds on their acquisition of Univision Communications, Inc. Additionally, he has experience with CDO offerings and other securitizations.
Mr. Goodman is a member of the Tax Section of the New York State Bar Association and has contributed to a number of its bar reports on troubled company issues. He co-authored the tax chapter of the treatise The Law and Practice of Restructuring in the UK and US (Oxford University Press 2011).
