Jennifer Seymour is a Corporate associate based in the Dallas office. Ms. Seymour’s practice focuses on complex corporate and transactional matters, including representation of private equity firms and public and private companies in connection with public and private acquisitions, divestitures and investment transactions. She also advises clients with respect to internal investigations, general corporate governance matters, restructurings and compliance with applicable securities regulations.

Representative Experience:

• Represented affiliates of HM Capital Partners in the sale and purchase of the food and consumer products segment of the investment portfolio of HM Capital’s Sector Performance Fund, including Sector Performance Fund’s investments in Advanced Refreshment, Milk Specialties Company, Natural Selection Foods (d/b/a Earthbound Farms), and UniTek Global Services, and a simultaneous $468 million investment from a subsidiary of Canada Pension Plan Investment Board in the purchasing entities
• Represented BlackBrush Oil & Gas in its sale of certain upstream oil and gas assets
• Represented Archipelago Learning, Inc. in its take private transaction involving the acquisition of Archipelago Learning, Inc. by Plato Learning, Inc., a portfolio company of Thoma Bravo, LLC
• Represented Dallas Stars in the sale of the Dallas Stars National Hockey League Club and all of its hockey-related assets to Dallas Sports & Entertainment, DSE Hockey Club, and DSE Hockey Centers, entities owned by Vancouver-based businessman Tom Gagliardi and family, following a court-approved auction as part of a prepackaged voluntary chapter 11 plan
• Represents BancTec, Inc. in connection with various governance matters and “M&A” activities
• Represented the Special Committee of Southwest Airlines, Inc. in connection with a shareholder derivative action relating to certain alleged aircraft maintenance issues
• Represented the independent directors of the board of MGM Resorts International with respect to various matters
• Represented NBC Universal in the merger of the A&E Networks (which include A&E Network, The History Channel and The Biography Channel, among others) with Lifetime Television Networks
• Represented Financial Industries Corporation, a publicly traded insurance company, acquired by Americo Life, Inc. pursuant to a public merger
• Represented International Wire Group, Inc., a manufacturer and marketer of wire products, in its purchase of the assets and operations of Hamilton Products Inc. and certain related real estate

Ms. Seymour received her J.D. from Southern Methodist University Dedman School of Law, where she was a member of the SMU Law Review Association and was named to the Order of the Coif. Ms. Seymour holds a Bachelor of Science in Management from Tulane University where she graduated summa cum laude.
